When considering investment in Cameroon, understanding the legal
framework for business formation is essential. The country, as a member of
the Organization for the Harmonization of Business Law in Africa (OHADA),
operates under a unified legal system that governs commercial activities
across member states.
The Uniform Act Relating to Commercial Companies and Economic Interest
Groups (GIE) forms the cornerstone of business regulations. This Act provides
the rules for the formation, governance, and operations of commercial
companies in Cameroon. For civil companies, national laws apply.
According to Article 3 of the Uniform Act, any individual, regardless of
nationality, who intends to engage in commercial activities through a
company must choose a structure that suits the nature of their business. The
legal framework provides flexibility, allowing investors to select from various
types of commercial entities to meet their specific business objectives.
Investing or conducting business in Cameroon requires a clear understanding
of the available business entities, the processes for establishing them, and
the compliance requirements to operate legally.
